Global Terms of Service

Global Terms of Service

Effective date: 2026-08-30   Version: 1.1.0

This document forms part of the Astalias global legal framework. Astalias is an international software and digital-services platform and is not presented as being directed exclusively to any single country. Mandatory rights and obligations that cannot lawfully be excluded or restricted remain unaffected.

1. Scope and contracting party

These Global Terms of Service (“Terms”) govern your access to and use of Astalias websites, customer accounts, digital products, downloadable software, WordPress plugins and themes, Magento extensions, Laravel applications, hosted or cloud-enabled features, APIs, connectors, documentation, support, updates, subscriptions and related services (collectively, the “Services”). The Services are provided by Astalias Shopping, International Partnership, Software GmbH, trading as Astalias Software GmbH (“Astalias”, “we”, “us” or “our”).

Additional product-specific terms, the Software License Terms, Subscription & Renewal Terms, Refund & Cancellation Policy, Acceptable Use Policy, Privacy Policy and other policies expressly referenced at purchase or activation form part of the agreement where relevant. If there is a conflict, a product-specific written term controls for that product to the extent of the conflict.

2. Acceptance and authority

By creating an account, placing an order, clicking an acceptance control, downloading or installing software, activating a commercial entitlement, accessing an API or otherwise using a Service, you agree to the applicable agreement. If you use a Service on behalf of a company, agency or other organisation, you represent that you have authority to bind that organisation and “you” includes that organisation.

You must be at least 18 years old or the age of legal majority where you live, whichever is higher, and legally capable of entering into the agreement. If applicable law gives you mandatory rights that cannot be waived by contract, those rights continue to apply.

3. Accounts, credentials and security

You must provide accurate and current information and keep account, billing and contact details reasonably up to date. You are responsible for safeguarding account credentials, API keys, license keys, tokens and recovery methods, and for activity performed through credentials under your control. You must promptly notify us at astalias@astalias.net if you reasonably suspect compromise or unauthorised access.

We may require identity, payment, tax or security verification where reasonably necessary to prevent fraud, comply with law or protect the Services. You may not create accounts using false identities, impersonate another person or organisation, or use another customer’s credentials without authorisation.

4. Products, descriptions and technical requirements

Product pages describe material characteristics such as included functionality, supported environments, billing period, activation allowance, update entitlement, support scope, API or cloud allowances and known technical requirements. Screenshots, demonstrations and roadmap statements are illustrative unless expressly stated as contractual commitments.

You are responsible for confirming that your hosting environment, WordPress/PHP/Magento/Laravel version, browser, server configuration and third-party dependencies satisfy stated requirements. We may improve, refactor, replace or discontinue non-essential functionality for security, compatibility, legal or operational reasons, provided that we do not unlawfully remove mandatory consumer rights or paid core commitments.

5. Orders and contract formation

Displaying a product or price is an invitation to place an order and does not by itself constitute acceptance. You submit an offer to purchase when you complete checkout. We may perform automated or manual checks for payment authorisation, fraud, sanctions, pricing errors, duplicate orders or technical failures. The contract is accepted when we confirm the order or make the purchased digital entitlement available, whichever occurs first, unless applicable law requires an earlier point of formation.

We may reject or cancel an order before acceptance where reasonably necessary. If we cancel an order after receiving payment and no valid legal basis permits us to retain it, we will refund the affected amount to the original payment method or another lawful method.

6. Prices, taxes and currency

Prices, billing interval, currency and any taxes collected by Astalias are shown during checkout. Depending on your location, customer type and tax status, prices may be displayed inclusive or exclusive of VAT, GST, sales tax or similar indirect taxes. You are responsible for providing correct billing and tax information and, where applicable, a valid tax identification number.

You remain responsible for taxes, duties, bank charges, currency conversion costs or similar amounts that are imposed on you and are not required to be collected by Astalias. We may correct obvious pricing or tax-calculation errors before order acceptance and will give you the opportunity to proceed at the corrected amount where appropriate.

7. Payment processing

Payments may be processed through supported third-party providers, including separate Stripe payment configurations/accounts and PayPal. Your use of a payment provider may also be governed by that provider’s terms and privacy practices. Astalias does not normally receive or store full payment-card numbers where the payment provider collects them directly.

You authorise the selected provider and Astalias to process charges that you expressly approve, including recurring charges where you purchase a subscription. You must not initiate a chargeback or payment dispute in bad faith. Nothing in this section limits a legitimate right to dispute an unauthorised or legally contestable charge.

8. Digital delivery and access

Digital products may be delivered immediately after successful payment through an account, download link, license entitlement, API access, repository access or another electronic method. You are responsible for downloading and securely retaining any files you are entitled to keep.

Where applicable law grants a withdrawal or cancellation right for digital content supplied without a tangible medium, checkout may ask you to expressly request immediate performance and acknowledge the legal consequence of performance beginning during a statutory withdrawal period. Astalias will not treat a general Terms checkbox as a substitute where separate express consent is legally required.

9. Software and open-source licensing

Software components may be distributed under the GNU General Public License (“GPL”) or other open-source licenses. Rights in code covered by an open-source license are governed by that license and are not reduced by these Terms. Open-source code rights are separate from Astalias trademarks, hosted services, customer accounts, update infrastructure, support services, paid APIs, premium connectors and other commercial entitlements.

The applicable Software License Terms explain license keys, activations, updates, hosted benefits, third-party components and commercial entitlement rules.

10. Subscriptions, renewals and cancellation

If a product is identified as recurring, it renews for the stated billing period until cancelled in accordance with the Subscription & Renewal Terms. Before purchase we will disclose the recurring nature of the charge, billing interval and material pricing information. We will not convert a one-time product into a recurring subscription without a new lawful authorisation.

11. Updates, support and lifecycle

Eligibility for premium updates and support depends on the plan or entitlement associated with your purchase. We may end support for obsolete product versions, operating environments or third-party platforms that are no longer secure or reasonably maintainable. Our Support & Updates Policy describes scope and exclusions.

Security fixes may change behaviour, remove unsafe functionality or require a newer dependency. We do not guarantee indefinite compatibility with every theme, plugin, hosting stack, browser, API or external service.

12. Regulated or high-risk use

Some Astalias products may be technically capable of use in regulated industries or activities, including gaming, betting, finance, advertising, travel, communications or data-intensive services. Astalias provides software and technical tools; unless expressly stated in a separate written agreement, Astalias does not obtain or provide on your behalf any gambling, betting, financial-services, gaming, telecommunications, travel, advertising or other regulatory licence.

You are solely responsible for determining whether your deployment, business model, content, jurisdiction, customers and use of a Service require licences, registrations, age controls, geo-restrictions, disclosures, responsible-gaming measures, tax treatment or other regulatory obligations. You must not use Astalias software to evade licensing or legal requirements.

13. Acceptable use and customer content

You must comply with the Acceptable Use Policy. If a Service allows you to upload, transmit, publish or process content or data, you retain rights you lawfully hold in that material and grant Astalias only the permissions reasonably necessary to host, transmit, back up, transform or otherwise process it to provide and secure the Service.

You represent that you have the rights and lawful basis necessary for material you submit and for instructions you give Astalias. We may remove or restrict content or access where reasonably necessary to comply with law, enforce the agreement, protect third parties or maintain service security.

14. Third-party services and connectors

Services may integrate with payment processors, hosting providers, social networks, AI services, travel providers, analytics systems, OAuth providers or other third parties. Third-party services are not controlled by Astalias and remain subject to their own terms, technical limits, pricing, policies and availability. A third-party change may require us to modify, suspend or discontinue an integration.

15. Intellectual property, branding and documentation

Except for open-source components and third-party materials, Astalias and its licensors retain all rights in the Services, website content, documentation, design elements, databases, hosted systems, trademarks, trade names and logos. No open-source license grants you a right to use Astalias branding in a way that suggests sponsorship, certification or affiliation.

You may use documentation internally to operate the relevant Service. You may not remove copyright, attribution or proprietary notices where doing so is prohibited by applicable license terms.

16. Feedback

If you voluntarily provide suggestions, ideas or product feedback, you grant Astalias a worldwide, perpetual, irrevocable, sublicensable and royalty-free right to use that feedback for any lawful purpose without obligation to compensate you, provided that we do not publicly identify you as the source without permission.

17. Suspension and termination

We may suspend or restrict account-based, hosted, API, update or premium services when reasonably necessary because of non-payment, security risk, fraud, unlawful use, sanctions, material breach, abusive traffic, compromise of credentials or risk to other users or infrastructure. Where practical and lawful, we will provide notice and a reasonable opportunity to remedy a remediable breach.

You may stop using the Services at any time and may cancel recurring subscriptions using the methods described in the Subscription & Renewal Terms. Termination does not erase payment obligations already incurred or provisions that by their nature should survive, including intellectual-property, confidentiality, payment, disclaimer, liability, dispute and audit/evidence provisions.

18. Export controls and sanctions

You may not access, export, re-export, transfer or use the Services in violation of applicable export-control, trade-sanctions or embargo laws. You represent that you are not prohibited from receiving the Services under laws that lawfully apply to the transaction. We may refuse, suspend or terminate transactions where reasonably necessary for sanctions or export-control compliance.

19. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available”. Software environments, customer configurations and external dependencies vary. We do not warrant that every Service will be uninterrupted, error-free, immune from all security risk, compatible with every environment, or suitable for every legal or commercial purpose.

Astalias does not provide legal, tax, accounting, regulatory or investment advice through software, templates, documentation or support. Nothing in these Terms excludes warranties, guarantees or remedies that cannot lawfully be excluded.

20. Limitation of liability

To the maximum extent permitted by law, Astalias will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profits, revenue, goodwill, business opportunity or data, arising out of or related to the Services, even if advised that such loss may occur.

For claims that may lawfully be limited, Astalias’s aggregate liability arising from or relating to a paid Service will not exceed the greater of (a) the amount you paid to Astalias for the affected Service during the twelve months immediately preceding the event giving rise to the claim, or (b) the minimum amount that applicable mandatory law requires. This section does not limit liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot legally be limited.

21. Business-user indemnity

If you use the Services primarily for business or professional purposes, you will defend and indemnify Astalias and its personnel against third-party claims, damages, penalties and reasonable costs arising from your unlawful customer content, infringement of third-party rights, unlawful regulated activity, or material breach of the Acceptable Use Policy, except to the extent caused by Astalias’s own breach, negligence or unlawful conduct. This section does not apply to consumers where such an indemnity would be prohibited or unfair under applicable law.

22. Force majeure

Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as widespread internet or cloud outages, natural disasters, war, terrorism, civil disorder, government action, labour disruption, epidemic, utility failure or failure of a critical third-party network, except that this does not excuse payment obligations for Services already provided.

23. Changes to Services or Terms

We may update these Terms for legal, regulatory, security, product or operational reasons. Material changes receive a new version and effective date. Where required by law or where a change materially alters an ongoing paid relationship, we may provide notice or request renewed acceptance before the change becomes binding for the affected use.

24. Governing law and disputes

These Terms are governed by the laws of Amstgericht, without regard to conflict-of-law principles, and disputes may be brought in Bad Hersfeld, except where mandatory law gives you rights to use another court, tribunal, regulator or dispute process. Nothing in this clause deprives a consumer or other protected person of mandatory protections available under law that cannot validly be waived.

25. General provisions

If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign an account or contractual right in a manner that circumvents plan, security or payment restrictions without our consent, except where applicable law permits assignment. Astalias may assign the agreement in connection with a merger, reorganisation, asset transfer or change of control, subject to mandatory law.

These Terms together with incorporated policies and product-specific terms constitute the agreement concerning the relevant Services and supersede prior inconsistent representations concerning the same subject matter, except for a separately signed written agreement.
